JOB TITLE : Merchant Banker - Category 1
REPORTS : MANAGER
JOB RESPONSIBILITIES :
- Due diligence in QIPs, buyback & Rights Issue, coordinating with stock exchanges and SEBI for getting their approval on the issues (including preferential issues), Company & sector analysis and preparing pitch books & information memorandum, valuations
Analysis :
- Company and Industry Analysis
- Preparing pitch books presentations
- Preparing information memorandum for the investors
- Valuations and Financial modeling - DCF and Comparable Company Analysis
- Determining the Company value on different valuation techniques
- Determining the peer comparable companies
- Peer comparison analysis on trading multiples
- Analyze Domestic as well as International companies for trading comparable in that particular Sector / Industry
- Positioning the Company on the basis of arrived valuation multiples
- Preparing transactions comparable
- Precedent transactions analysis on the particular Sector / Industry Regulatory
- Co-coordinating with SEBI, RBI, BSE, NSE, Legal advisor, Advertiser, Printer, CDSL, NSDL, Ad Agency and Registrar
- Solving queries of regulatory bodies (SEBI and RBI)
- Preparing draft public announcement for Buyback, Open offer and IPOs
- Preparing draft offer documents for IPOs, QIPs and Open offer
- Due Diligence and Compliances
- Determination of price as per preferential allotment and QIP norms issued by SEBI under ICDR regulations
- Preparing timeline for various Capital offerings Compliance
- Submission of documents to SEBI on Buyback
- Daily reporting to BSE and NSE on Buyback status
- Monthly reporting to SEBI on Buyback status
- Quarterly reporting to SEBI on Investment Banking division Database
- Extremely conversant with Bloomberg, Capitalize and Venture Intelligence database
- We are a SEBI registered Category 1 Merchant Banker
- 2nd highest in QIP merchant banking activities in terms of number of issues handled for companies, having QIP Issue Size less than Rs.200cr during CY 2015.
- Execution of Capital Market deals i.e. IPO (Main Board / SME), QIP, Rights Issue, FPO, and Open Offer under Buyback, Takeover, De-listing etc.
- Liaising with clients, legal advisers, registrar, auditors, syndicate members, other advisers, SEBI, Stock Exchanges, and other intermediaries involved
QUALIFICATION :
- Any Graduate with MBA/ CA/ LLB/ CFA
JOB KNOWLEDGE, SKILLS & EXPERIENCE :
- Experience in Merchant/ Investment Banking - 5 to 7 years
- Strong quantitative and analytical skills
- Excellent computer skills
- Outstanding interpersonal, verbal, and written communication skills
- Solid organizational and time management skills
- Demonstrable self-starter
